These Terms of Service (“Terms”) govern your access to and use of the website owlandgoats.com and the services provided by OWL & GOATS (“OWL & GOATS”, “we”, “us”, or “our”). By using our website or engaging our services, you agree to these Terms.
1. Services
OWL & GOATS provides AI-driven agency services, which may include automation, software development, design, brand, growth marketing, and finance-operations services. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal, statement of work, or order (“Engagement Agreement”). In the event of a conflict, the Engagement Agreement prevails over these Terms for that engagement.
2. Quotes & engagements
Quotes and proposals are valid for the period stated and are not binding until accepted in writing by both parties. We may decline or discontinue work that falls outside an agreed scope or that we reasonably believe to be unlawful or harmful.
3. Fees & payment
Fees, billing schedule, and payment terms are defined in the Engagement Agreement. Unless otherwise stated, invoices are due within the period specified, and late payments may incur reasonable interest or suspension of services. Fees are exclusive of taxes unless stated otherwise.
4. Client responsibilities
You agree to provide timely access to the materials, information, approvals, and accounts we reasonably need to deliver the services, and to ensure you have the rights to share any content or data you provide to us.
5. Intellectual property
Upon full payment, final deliverables created specifically for you under an Engagement Agreement are assigned or licensed to you as set out in that agreement. We retain ownership of our pre-existing materials, tools, frameworks, and know-how, and may use general skills and experience gained. We may showcase non-confidential work in our portfolio unless agreed otherwise in writing.
6. AI-generated content & outputs
Our services use AI systems and automated workflows. AI-generated outputs may be inaccurate, incomplete, or non-unique, and the legal status of AI-generated material can vary by jurisdiction. We apply human review before delivery, but you are responsible for evaluating outputs for your intended use. AI outputs do not constitute legal, financial, tax, or other professional advice unless we expressly confirm otherwise in writing.
7. Confidentiality
Each party agrees to keep the other’s confidential information secure and to use it only to perform under the engagement. This obligation continues after the engagement ends.
8. Warranties & disclaimers
We provide services with reasonable skill and care. Except as expressly stated, the website and services are provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, OWL & GOATS shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to an engagement shall not exceed the fees paid for that engagement in the three months preceding the claim.
10. Term & termination
Either party may terminate an engagement as set out in the Engagement Agreement. On termination, you agree to pay for services performed up to the termination date. Provisions that by their nature should survive termination (including IP, confidentiality, and liability) will survive.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which OWL & GOATS is established, and the courts of that jurisdiction have exclusive jurisdiction, unless otherwise required by applicable law. [Specify governing jurisdiction.]
